Tele-Response Ltd - Terms & Conditions
1. Prices include packing charge but exclude VAT and carriage.
2. Terms 28 days net monthly account.
3. Terms may be reviewed if our payment terms are not complied with.
4.1 Risk of damage to or loss of goods sold by Exelsys Telecom Ltd (“the goods”) shall pass to the customer at the time of delivery to or collection by the customer.
4.2 Notwithstanding delivery and passing of the risk in the goods, or any other provision of these conditions. The property of the goods shall not pass to the customer until Exelsys Telecom Ltd has received in cash or cleared funds payment in full of the price of the goods in question and all other goods agreed to be sold by Exelsys Telecom Ltd to the customer for which payment is then overdue.
4.3 Until such time as the property in goods passes to the customer, the customer shall hold them as Exelsys Telecom Ltd fiduciary agent and bailer, and shall keep the goods separate from those of the customer and third parties and properly stored, protected and insured and identified as Exelsys Telecom Ltd’s property but shall be entitled to re-sell or use the goods in the ordinary course of it’s business.
4.4 Until such time as the property in any goods delivered by Exelsys Telecom Ltd to the customer passes to the customer (and provided the goods are still in existence and have not been resold) Exelsys Telecom Ltd shall be entitled at any time to require the customer to deliver up the goods to Exelsys Telecom Ltd and, if the customer fails to do so forthwith, to enter upon any premises of the customer or any third party where the goods are stored and repossess the goods.
4.5 The Customer shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the goods which remain the property of Exelsys Telecom Ltd but if the customer does so all monies owing by the customer to Exelsys Telecom Ltd shall (without prejudice to any other right or remedy of Exelsys Telecom Ltd) immediately become due and payable.
4.6 Each sub-clause of this clause is severable from each other sub clause.
5. Exelsys Telecom Ltd reserves the right to refuse to supply to a customer any goods ordered by that customer when the customer does not comply with or has not complied with condition no.2.
6. This price list cancels all previous lists and is subject to change without notification. Exelsys Telecom Ltd may with draw any item from sale at any time. Technical data, dimensions and weights stated in quotations and price lists serve only as a guide and do not form any part of contract. They are subject to alteration by Exelsys Telecom Ltd without notification.
7. Minimum order value: £50.00 or £5.00 processing charge will be levied. The dispatch date will respected in as far as is possible by Exelsys Telecom Ltd. If, however, this date cannot be met due to unforeseen circumstances beyond the control of Exelsys Telecom Ltd the customer can make no claim on Exelsys Telecom Ltd unless a penalty clause has been previously agreed in writing.
8. Once an order has been acknowledged it will be the customer’s responsibility to accept it. No cancellations or alterations can be accepted except with our written consent.
9. Delivery Claims: Any claims of alleged incomplete or incorrect delivery must be notified to Exelsys Telecom Ltd within 7 days of delivery. Exelsys Telecom Ltd will decide the method of transport unless the customer requests an alternative transporter before the dispatch date. Any damage or delay attributed to the transporters must be notified to Exelsys Telecom Ltd within 7 days of receipt. Claims for non-delivery of goods should be notified within 7 days of invoice date.
10. Goods will not be accepted back for credit unless previously agreed in writing by Exelsys Telecom Ltd. All such returns could be subject to a handling charge and offers of replacement or repair will only be made after inspection of goods.
11. Guarantee: Where goods are shown to be incapable of use within their first 6 months of supply due to defective material or bad workmanship, then Exelsys Telecom Ltd will repair or replace these items free of charge provided that:
a) The goods have been correctly installed and used in accordance with the standard engineering practice and the instructions in the manufacturer’s technical literature regarding installation, operation and working conditions.
b) The defect has not arisen due to accidental damage, misuse, neglect, repair by someone other than an Exelsys Telecom Ltd employee or normal wear and tear.
c) No modifications have been effected on the standard item without the prior written consent of Exelsys Telecom Ltd.
All such items for repair or replacement must be returned, carriage paid, to Exelsys Telecom Ltd. All claims for faulty goods shall be limited to repair and replacement only and not to compensation for consequential loss or damages to plant or persons howsoever arising.
12. All orders placed will be subject to the above conditions and placing of an order will be considered to be the customer’s acceptance thereof.
13. No terms or conditions differing from the above will be valid unless acknowledged by Exelsys Telecom Ltd in writing.
